1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you") and Valley Web Service ("we," "us," or "our") regarding your use of our website, services, and products. By accessing or using our services, you agree to comply with and be bound by these Terms.

If you do not agree with these Terms, you may not use our services. We reserve the right to update or modify these Terms at any time without prior notice. Your continued use of our services after any updates constitutes acceptance of the revised Terms. It is your responsibility to review these Terms periodically.

2. Services Provided

Valley Web Service provides custom web design, development, SEO, hosting, and maintenance services. These services are available to both businesses and individuals.

3. Payment & Refund Policy

Money-Back Guarantee

If we cannot mutually agree on a website design during the design phase, you are entitled to a full refund. However, once the design is approved and development begins, payments are non-refundable.

4. Cancellation Policy

You may cancel your website hosting or maintenance plan at any time with 30 days' written notice. Upon cancellation:

• Your website will remain active until the end of the current billing period.
• If you wish to migrate your website to another host, you must request a full buyout of the website, after which we will provide a downloadable copy of the website files.
• Failure to complete payments before cancellation may result in the suspension of your website.

5. Ownership & Usage Rights

Upon full payment, you own all website files, content, and designs. However, you are not permitted to modify, resell, or transfer the website to another developer without our written consent.

6. Website Hosting & Uptime

We use third-party providers (such as Netlify) for website hosting. While we strive for maximum uptime, we do not guarantee 100% uptime and are not responsible for outages beyond our control.

7. Client Responsibilities

You are responsible for providing accurate business information, content, and timely feedback during the design and development process. Delays in communication may impact project timelines.

8. Prohibited Activities & Misuse

You agree not to:

• Use fraudulent chargebacks or false claims to avoid payment.
• Interfere with the website's security or attempt unauthorized modifications.
• Host malicious, illegal, or harmful content on the website.

9. Limitation of Liability

Valley Web Service is not liable for:

• Losses due to website downtime caused by hosting providers.
• Security breaches beyond our control.
• Loss of revenue, data, or profits resulting from website issues.

In no event shall our liability exceed the total amount paid for the services in the last three months prior to the claim.

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of New Jersey, United States.

Arbitration Agreement

Any disputes arising from these Terms shall be resolved through binding arbitration in New Jersey. By agreeing to these Terms, you waive your right to participate in class-action lawsuits.

11. Changes to These Terms

We may update these Terms at any time without prior notice. It is your responsibility to review this page periodically for changes.
